Terms of Service

1. Who we are and what these terms cover
These terms govern your use of the reselleros.app website, the waitlist, our Discord community and the Reseller OS desktop application for Windows and macOS (together, the "Service"). Reseller OS ("we", "us", "our") operates the Service from the United Kingdom. By using the Service you agree to these terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal data and forms part of these terms.
2. Eligibility
You must be at least 16 years old and legally able to enter into a binding contract to use the Service. If you use the app for a business, you confirm you are entitled to accept these terms on that business's behalf.
3. Early access
Reseller OS is opening in waves. Access is granted at our discretion, may be withdrawn where these terms are breached, and does not carry any promise that a particular feature will exist, keep working or remain unchanged. We may add, change, suspend or remove features at any time as the product develops.
4. Your licence to use the app
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Reseller OS app on devices you own or control, for tracking your own reselling activity. We and our licensors keep all intellectual property rights in the Service. You must not:
- copy, sell, rent, sublicense or redistribute the app;
- reverse engineer, decompile or modify the app, except where the law permits it despite this clause;
- use the Service to build or train a competing product;
- use the Service in any unlawful way, or interfere with its operation or security.
5. Your data and your backups
The app stores all of your data locally on your device. We hold no copy. That is a deliberate privacy feature, and it has a consequence you accept by using the app: if your device, disk or files are lost, damaged, stolen or corrupted, we cannot recover your data. The app takes an automatic local backup before each update as a convenience, and it provides export tools (Excel, CSV, JSON). You are responsible for keeping your own backups, for the security of your device, and for anything that happens to data stored on it.
6. Email import
The order-import feature is optional. If you connect an inbox, you confirm the inbox is yours and that you are entitled to let software on your device read it. Your credentials stay encrypted on your device, as described in the Privacy Policy. You are responsible for complying with your email provider's terms. Parsing is automated and not guaranteed to be complete or accurate: entries the app is unsure about are flagged for your review, and you are responsible for checking that your records are right.
7. Marketplaces
Reseller OS is an independent product. We are not affiliated with, endorsed by or sponsored by eBay, Amazon, Vinted, Depop, Vestiaire Collective, StockX, Facebook, Whatnot or any other marketplace, courier or retailer. Their names and logos are trade marks of their respective owners and are used only to identify where your orders come from. Your relationship with each marketplace is governed by its own terms, and you are responsible for complying with them. Reseller OS is a tracker: it does not automate purchasing, bidding or listing on any platform.
8. Not professional advice
Reseller OS is record-keeping software. Nothing in the Service, on this website, in the app, in our emails or in our community, is tax, accounting, legal, investment or financial advice, and nothing in it should be relied on as such. Figures the app shows (including profit, ROI, fees and any market values sourced from third parties) depend on the data entered and on external sources, and may be incomplete, estimated or out of date. Numbers shown on this website are illustrative specimen data, not a promise of results. You are responsible for your own tax, reporting and legal obligations, including to HMRC, and you should check anything that matters with a qualified professional.
9. Price
The Service is currently free while we open in waves. We may introduce pricing in future. We will announce pricing before anything is charged, and you will never be charged without agreeing to it first. We are not obliged to keep any part of the Service free.
10. The Service is provided as is
Reseller OS is early-access software. To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted, error-free or secure, or that defects will be corrected.
11. Limitation of liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under the law of England and Wales. If you are a consumer, nothing in these terms affects your statutory rights.
Subject to that, we are not liable for: loss of profits, revenue, business or goodwill; loss or corruption of data (see section 5, which makes backups your responsibility); losses arising from marketplace decisions, fees, suspensions or disputes; losses arising from inaccurate or incomplete records or figures; or any indirect or consequential loss. Our total liability to you for all claims arising out of or in connection with the Service is limited to the amount you have paid us for the Service in the 12 months before the claim arose or, if you have paid nothing, £50.
12. Community
The Discord server is provided for the community around Reseller OS. Be decent. We may remove content or members that are abusive, unlawful, spammy or harmful to the community, at our discretion. Discord's own terms also apply there.
13. Ending things
You can stop using the Service at any time; your app data is on your device and yours to keep or export. We may suspend or end your access to the Service (including the waitlist, updates and community) if you breach these terms or misuse the Service. Sections that by their nature should survive (including sections 5, 8, 10, 11 and 15) survive termination.
14. Changes to these terms
We may update these terms as the Service evolves. The date at the top shows the current version. If a change is significant, we will flag it on the website or in the Discord before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated terms.
15. General
If any part of these terms is found unenforceable, the rest stays in force. A delay in enforcing these terms is not a waiver. You may not transfer your rights under these terms without our consent; we may transfer ours as part of a reorganisation or sale of the Service. These terms are the whole agreement between us about the Service. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, except that if you live in Scotland or Northern Ireland you may also bring proceedings in your local courts, and consumers keep the protection of the mandatory rules of the country they live in.
